Public Offer to Enter into an Agency Agreement for Payment Services Through hotel-payment.com

1. General provisions

This document is the official offer (public offer) of Axioma LLC, TIN 9717124341, referred to below as the "Company", "Agent", or "Service Administrator", to enter into an agency agreement with any legally capable individual or legal entity referred to below as the "User" or "Client".

The offer is published on the Internet at https://hotel-payment.com. Under Articles 435, 437, and 438 of the Civil Code of the Russian Federation, this document constitutes a public offer.

Upon acceptance, the User is deemed to have entered into an agency agreement with the Company on the terms of this offer and confirms that they reviewed the offer before payment, fully understand it, and accept it without reservations.

2. Terms and definitions

User / Client

Any individual or legal entity using the Service to make a payment.

Service provider

Any third party supplying travel or related services, including hotels, apartments, travel agencies, tour operators, booking services, transport companies, and similar organizations.

Travel services

Any travel-related service, including accommodation, housing rental, transfers, tours, travel packages, and excursions.

Payment

Funds transferred by the User through the Service in favor of the Service provider.

Commission

The Company's remuneration for its agency services.

Order

The User's instruction to the Agent to execute a payment.

3. Legal status of the Service

• hotel-payment.com is an information and technology platform.
• The Company provides agency services for arranging payments only.
• The Company does not provide travel services, is not a tour operator or travel agency, and is not a party to the travel-service contract between the User and the Service provider.
• All obligations to provide travel services arise solely between the User and the relevant Service provider.
• The Company acts on behalf of and under the User's instruction when arranging payment.

4. Subject matter

The User instructs the Company to accept funds and transfer them to the relevant Service provider.

• inform the User about the transaction status.

The Company does not guarantee successful provision of the travel services. The Company's obligation is deemed fulfilled when the payment is submitted to the bank or payment system.

5. Payment procedure

• The User completes the payment form, specifies the payment amount, and identifies the payment recipient.
• The User confirms acceptance of the offer and other mandatory consents required for payment processing and order fulfilment.
• After confirmation, the User may be redirected to a third-party payment system.
• The Company may use third-party banks and payment systems and is not responsible for their independent operation outside the Company's control.

6. Commission

The Company may charge a commission for its services. The commission is displayed in the Service interface and/or payment form, may be included in the payment amount, and is accepted by the User when paid.

7. Limitation of liability

The Company is responsible only for arranging the payment, subject to applicable law and its own agency obligations.

• changes to accommodation terms;
• denial of check-in;
• actions of travel agencies;
• insolvency of service providers;
• user mistakes;
• third-party technical failures;
• bank delays.

Claims regarding travel services should primarily be addressed to the relevant Service provider. The Company's total liability is limited to the amount of commission received for the respective transaction.

8. Disclaimer of warranties

The Service is provided "as is" (AS IS). The Company does not guarantee uninterrupted operation of the website, absence of errors, or continuous availability of the service.

9. Indemnity

The User agrees to indemnify the Company for losses arising from breach of the offer, unlawful use of the service, or provision of false information.

10. AML and antifraud

• The Company may review user transactions.
• The Company may suspend transactions, request documents, and reject payments.
• The Company may block transactions in cases of suspected fraud, money laundering, or terrorist financing.

11. Sanctions clause

The User confirms they are not subject to sanctions. The Company may refuse to process a payment if the transaction could violate sanctions laws or internal compliance restrictions.

12. Personal data

The User gives separate consent to the processing of personal data for payment and service-fulfilment purposes. Processing is carried out in accordance with Federal Law No. 152-FZ.
